  • "We," "Us," or "Our": Refers to Synthos, operating from Bangkok, Thailand.
  • "Agreement": The binding contract formed when you engage our services or accept these terms.
  • "Content": Information, data, text, documents, and materials created or provided during service delivery.

2. Acceptance of Terms

2.1 Agreement Formation

By using our website, submitting inquiry forms, or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.

2.2 Capacity to Enter Agreement

You confirm that you are at least 18 years of age and have the legal capacity to enter into binding agreements. If accepting on behalf of an organization, you represent that you have authority to bind that entity to these terms.

2.3 Modifications to Terms

We reserve the right to modify these terms at any time. Changes become effective upon posting to this page. Continued use of our services after modifications constitutes acceptance of the updated terms.

3. Service Description

3.1 Services Offered

Synthos provides AI integration services including:

  • Discovery workshops to identify AI opportunities within organizations
  • Custom AI solution development tailored to specific operational needs
  • Ongoing support and optimization for implemented solutions
  • Technical consulting and strategic guidance on AI integration

3.2 Service Availability

Services are provided primarily in Bangkok, Thailand, though remote engagement may be possible depending on project requirements. Service availability is subject to our capacity and scheduling.

3.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any service at any time. Active client engagements will be completed or transitioned appropriately.

4. User Responsibilities

4.1 Accurate Information

You agree to provide accurate, current, and complete information when engaging our services. This includes business requirements, technical specifications, and relevant operational context.

4.2 Cooperation and Access

Successful service delivery requires your cooperation, including:

  • Timely participation in scheduled sessions and meetings
  • Provision of necessary data, systems access, and documentation
  • Availability of subject matter experts for consultation
  • Prompt feedback during development cycles

4.3 Prohibited Activities

You agree not to:

  • Use our services for any unlawful purpose or in violation of any regulations
  • Attempt to reverse engineer, decompile, or extract proprietary methods
  • Share credentials or access intended for your organization with unauthorized parties
  • Misrepresent your affiliation with or endorsement by Synthos
  • Interfere with or disrupt the integrity of our services or systems

5. Intellectual Property

5.1 Our Intellectual Property

All intellectual property rights in our methodologies, frameworks, general knowledge, and pre-existing materials remain the property of Synthos. You receive a limited, non-exclusive license to use deliverables solely for your internal business operations.

5.2 Client Data and Materials

You retain all rights to data and materials you provide. By engaging our services, you grant us a license to use such materials solely for service delivery purposes.

5.3 Developed Solutions

Custom solutions developed specifically for your organization become your property upon full payment, subject to any third-party components governed by separate licenses. Documentation and code created for your project are transferred to you.

6. Payment Terms

6.1 Pricing and Fees

Service fees are specified in individual engagement agreements or proposals. All prices are quoted in Thai Baht (฿) unless otherwise specified.

6.2 Payment Schedule

Payment terms vary by service type:

  • Discovery Workshops: Full payment due before commencement
  • Custom Development: Typically 50% upon agreement signing, 50% upon completion
  • Ongoing Support: Monthly invoicing with payment due within 15 days

6.3 Late Payments

Late payments may incur interest charges at a rate of 1.5% per month or the maximum rate permitted by Thai law, whichever is lower. We reserve the right to suspend services for accounts more than 30 days overdue.

6.4 Refund Policy

Refunds are handled on a case-by-case basis. Discovery workshop fees are generally non-refundable once sessions have begun. For development projects, refunds may be prorated based on work completed.

7. Confidentiality

7.1 Confidential Information

Both parties agree to maintain confidentiality of sensitive information shared during the engagement. This includes business strategies, technical specifications, operational data, and proprietary methods.

7.2 Exceptions

Confidentiality obligations do not apply to information that:

  • Is or becomes publicly available through no breach of this agreement
  • Was lawfully known prior to disclosure
  • Is independently developed without reference to confidential information
  • Must be disclosed pursuant to legal requirements

8. Warranties and Disclaimers

8.1 Service Warranty

We warrant that services will be performed with reasonable care and skill consistent with industry standards. Solutions will substantially conform to agreed specifications.

8.2 Disclaimer

Except as expressly stated, services are provided "as is" without warranties of any kind. We do not guarantee specific business outcomes, performance improvements, or that AI solutions will meet all operational requirements without adjustment.

8.3 Professional Advice Disclaimer

Our services constitute technical consulting but not legal, financial, or regulatory advice. You should consult appropriate professionals for guidance on compliance and business decisions.

9. Limitation of Liability

9.1 Liability Cap

Our total liability for any claims arising from services shall not exceed the total fees paid by you for the specific service giving rise to the claim during the preceding twelve months.

9.2 Excluded Damages

We shall not be liable for indirect, consequential, incidental, special, or punitive damages, including lost profits, lost data, or business interruption, even if advised of the possibility of such damages.

9.3 Force Majeure

Neither party shall be liable for failure to perform due to circumstances beyond reasonable control, including natural disasters, government actions, telecommunications failures, or other force majeure events.

10. Termination

10.1 Termination by Either Party

Either party may terminate ongoing support arrangements with 30 days written notice. Development projects may be terminated with consequences as specified in individual agreements.

10.2 Termination for Breach

Either party may terminate immediately if the other party materially breaches these terms and fails to cure within 15 days of written notice.

10.3 Effects of Termination

Upon termination, you remain liable for fees for services performed. We will deliver completed work and return your materials. Confidentiality obligations survive termination.

11. Dispute Resolution

11.1 Governing Law

These Terms and Conditions are governed by the laws of Thailand. Any disputes shall be subject to the exclusive jurisdiction of the courts of Bangkok, Thailand.

11.2 Informal Resolution

Before initiating formal proceedings, parties agree to attempt good-faith resolution through direct discussion and negotiation.

11.3 Mediation

If informal resolution fails, parties may agree to mediation before pursuing litigation or arbitration.

12. General Provisions

12.1 Entire Agreement

These Terms and Conditions, together with any engagement-specific agreements, constitute the entire agreement between parties regarding services.

12.2 Severability

If any provision is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.

12.3 Waiver

Failure to enforce any right or provision does not constitute a waiver of that right or provision.

12.4 Assignment

You may not assign or transfer these terms without our written consent. We may assign our rights and obligations to a successor entity.
